BMI - Open Case
SJG is investigating whether Badger Meter misled investors by pulling forward customer orders to artificially accelerate revenue. While the company pointed to "record" performance and strong demand, it allegedly used this practice to mask declining orders and weakening product demand.
The truth allegedly surfaced in stages, across three separate disclosures, each hitting shareholders harder than the last.

SJG is examining the proposed leveraged buyout of EA by Silver Lake, the Public Investment Fund of Saudi Arabia, and Affinity Partners, and whether EA leadership breached its fiduciary duties by using last-minute projection revisions to justify a $210-per-share offer — despite strong company performance and independent valuations suggesting EA is worth considerably more.
We're also reviewing potential conflicts: negotiations were led by EA's CEO rather than an independent committee, no broad effort was made to solicit competing bids, and financial advisor Goldman Sachs has ongoing business ties to the buying investor group.

SJG is investigating whether ADMA Biologics engaged in a de facto channel-stuffing arrangement involving an undisclosed related-party distributor, and whether the company issued materially false or misleading statements to fabricate revenue growth, conceal an operational downturn, and obscure deficiencies in its internal controls.
The concern intensified after a March 24, 2026 report from Culper Research alleged that ADMA's reported 2025 growth of more than 20% was, in reality, a 3% decline.

SJG is investigating whether Gildan leadership misled investors through aggressive channel stuffing — artificially pulling forward sales and pushing excess product into distribution channels to manufacture short-term growth while effectively cannibalizing future demand and masking a three-year revenue decline.
A June 16, 2026 report from Jehoshaphat Research, based on interviews with former employees and customers, warned the practice could trigger a 20% miss on second-half sales estimates.

Hamilton Lane Private Assets Fund
PAF - Open Case
SJG is investigating whether a February 2025 Proxy Statement misled investors about a March 2025 restructured fee agreement between the Fund and its Adviser. The proxy promised cost savings through lower nominal fee percentages, but allegedly concealed a predatory structural shift: instead of tying incentive fees to actual realized asset sales, the new agreement charges quarterly fees on unrealized gains from the Adviser's own valuations — applied retroactively back to 2020.
The shift is believed to have drained tens of millions from the Fund's net asset value in fees paid against phantom gains that may never materialize, leaving shareholders with permanent expenses tied to unearned accounting marks. That exposure is heightened by a $172 million redemption wave at a sister fund in March 2026, which could force asset sales and expose inflated valuations.
